Important notice
Welcome to 123 ENGLISH.
This website and its courses are operated by Institution legal entity (to be confirmed). We are the business that enters into the course contract with you, collects payment, provides customer service and handles refunds.
To offer broader global teacher resources, course content and a stable online teaching experience, we work with professional teaching and technology partners, which may include TeachersABC, operated by LingoDos Inc. Under our arrangements, these partners may provide:
- Global teachers and teacher management;
- Course content and teaching materials;
- Teacher matching and availability;
- Online classrooms, booking and learning systems;
- Teaching technology and maintenance;
- Agreed teaching operations support.
Whether or not we use these partners, we remain your main contact for course purchases, payments, customer service and consumer refunds.
Before registering, purchasing or using services, read these Terms, the Refund and Cancellation Policy and the Privacy Policy carefully, especially the provisions highlighted in bold concerning:
- Use by minors;
- Course packages, paid lessons and complimentary lessons;
- Booking, cancellation, lateness and absence;
- Teacher arrangements and replacement;
- Classroom audio/video recording;
- Overseas provision of personal information;
- Refunds;
- Liability and disputes.
If a learner is under eighteen, a parent, legal guardian or lawfully authorised adult must register the account, purchase courses, confirm applicable policies and supervise the learner's use.
1. Service parties
1.1 The institution
“We”, “the institution” and “123 ENGLISH” refer to:
Institution legal entity (to be confirmed)
Unified social credit code: To be confirmed by the institution
Business address: To be confirmed by the institution
Customer service phone: To be confirmed by the institution
Customer service email: support@lingodos.com
We are responsible for course sales, retail pricing, student contracts, collection of payment, invoices or payment receipts, student management, customer service, complaints, consumer refunds and other business responsibilities imposed on us by law.
1.2 Professional teaching and technology partners
We may use LingoDos Inc. / TeachersABC and other approved partners for global teachers, teacher management, course content, booking and classroom technology, learning systems, teaching data, technical maintenance, security and operations support.
Their participation does not change your consumer contract with us, our payment collection or customer service responsibilities, or our refund obligations under law and the order. Partners remain legally responsible for their own faults.
1.3 You and the learner
“You” means the adult registering the account, the person paying for courses, the parent or legal guardian of a minor learner, or a person lawfully authorised to represent the learner. “Learner” means the person receiving the lessons.
2. Contract documents and order of precedence
Your complete contract with us consists of:
- The specific order or course service order;
- Course package or product supplements;
- The Refund and Cancellation Policy;
- These Terms of Service;
- The Privacy Policy and its notices concerning children, recordings and overseas provision;
- Other rules prominently displayed and confirmed by you when purchasing.
If documents conflict, express provisions in the specific order take precedence; more favourable consumer provisions take precedence where they do not violate mandatory law; mandatory law always takes precedence. Ordinary website updates cannot retrospectively reduce the price entitlements, paid lessons, core validity, service level or lawful refund rights of an existing purchase.
3. Registration, guardianship and accurate information
3.1 Adult accounts
The person purchasing courses and accepting these Terms must be at least eighteen, have the relevant civil capacity, and be the learner, guardian or lawfully authorised representative. Minors must not purchase independently.
3.2 Guardian confirmation
For a learner under eighteen, you confirm that you have authority to represent them, will supervise appropriately for their age, understand that teachers may be outside China and online lessons involve audio/video interaction, will provide guardian consent and separate recording and overseas consent where legally required, and have supplied accurate age, location and guardianship information.
3.3 Accurate information
Provide truthful, accurate, complete information and keep it current. Do not impersonate others, falsely claim adult status, misstate learner age or location, use false phone numbers, addresses or technical methods to bypass geographical, age or product restrictions, permit unauthorised account use, or use an account unlawfully. Material irregularities may result in verification requests, suspended purchases or account restrictions.
3.4 Account security
Protect your account, password and verification codes. Contact us immediately if you discover unauthorised use. We bear lawful responsibility for loss caused by our system security faults. Loss resulting from a user's intent, gross negligence or voluntary sharing of credentials is handled according to each party's fault and law.
4. Course services
Services may include online individual or small-group lessons, teacher profiles, teacher selection or matching, booking, cancellation and adjustment, online classrooms, preparatory materials, homework, teacher feedback, learning records and reports, lesson replay, customer service and other services specified in the order.
The course name, paid and complimentary lessons, lesson duration, teacher pool, price, validity, service scope, cancellation rules and refund rules are those agreed in the order when purchasing.
5. Teacher arrangements and replacement
5.1 Teacher profiles
We make reasonable efforts to keep teacher profiles truthful, accurate and up to date. Availability, working status, lesson allocation, leave and location can change. Displaying a teacher does not guarantee availability at every time.
5.2 Matching
We may recommend or arrange teachers based on learner age, English level, goals, course, lesson times, teacher pool, teaching style and actual availability.
5.3 No permanent availability guarantee
Unless an order expressly provides a fixed-teacher service, we do not guarantee one teacher's continuous availability throughout a package.
5.4 Replacement
If a teacher cannot teach, leaves, takes leave, has technical problems or is unsuitable to continue, we may offer a same-level replacement, recommend a limited number of candidates, reschedule, restore the relevant lessons or handle the undelivered portion under the Refund and Cancellation Policy.
If we persistently cannot provide teachers of the ordered level within a reasonable time, you may request a different course or teacher pool, extended validity, restored lessons or lawful handling of the unused paid portion.
5.5 Contact with teachers
To protect learners, teachers and service security, communication should normally take place through the platform. Do not ask teachers to collect private payments or bypass the platform, arrange unauthorised and unsupervised off-platform private chats with minors, publish teachers' private information, or contact teachers in a harassing or inappropriate way.
6. Booking, cancellation, lateness and absence
6.1 Booking
Before confirming, check the date, time, time zone, teacher, course, duration, equipment and connection. Confirmed system booking records are important evidence of course delivery.
6.2 Timely cancellation
Unless your order is more favourable, cancelling at least 12 hours before the lesson means no student lessons are deducted, the lessons are restored and you may book again. This includes cancellation exactly at the deadline.
6.3 Late cancellation
Cancellation less than 12 hours before the start is late cancellation. Lessons are normally deducted and the teacher's reserved time is treated as provided.
6.4 Learner absence
If the learner has not entered the classroom [to be confirmed] minutes after the start and the teacher has waited on time, the learner is treated as absent, lessons are normally deducted and the teacher may stop waiting.
6.5 Learner lateness
The lesson ends at the original time and is not automatically extended. The teacher will teach during the remaining time.
6.6 Teacher cancellation
If a teacher cancels without a reasonable same-level replacement, no lessons are deducted, lessons are restored or a replacement lesson is arranged free of charge.
6.7 Teacher lateness
If teacher lateness materially affects a lesson, we will, according to the circumstances, make up the time, reschedule or restore all or a proportion of the lessons.
6.8 Platform faults
If a fault reasonably within our or the core teaching platform's control prevents reasonable teaching for more than ten minutes, we will reschedule free of charge or restore the relevant lessons.
6.9 User equipment and connection
If the teacher was ready on time and fulfilled a reasonable waiting obligation, problems involving user connection, equipment, power, camera or microphone, browser, software permissions, incorrect time zone or failure to prepare as instructed are handled according to rules disclosed before purchase, system logs and actual responsibility.
6.10 Record review
Request review within seven days after the lesson if attendance, cancellation or lesson deductions appear incorrect. We will consider system logs, classroom records, teacher records, user evidence and other objective information.
7. Lesson entitlements and packages
7.1 Student lesson entitlements
Student Lesson Credits or other lesson displays represent booking entitlements under your course contract with us. They are not legal tender or bank deposits, do not earn interest, are not for public payments and cannot be directly withdrawn as cash. Refunds follow the order, Refund and Cancellation Policy and applicable law.
7.2 Paid lessons
Paid lessons are lessons purchased for actual payment.
7.3 Complimentary lessons
Promotional, referral, compensation or other free lessons must be listed separately from paid lessons. They normally have no independent cash value. Unused complimentary lessons are normally cancelled when the corresponding order is refunded, terminated or expires. Used complimentary lessons are handled according to the refund reason, order, performance, good faith and law. Complimentary lessons must not create opaque or clearly unreasonable refund deductions.
7.4 Usage order
Unless prominently stated otherwise in the order, the system normally uses:
- Paid lessons nearing expiry;
- Other paid lessons;
- Complimentary lessons.
7.5 Validity
Package validity follows the order. We provide reasonable reminders, but you should also check expiry in the order and account. If our services, teacher supply or the core platform prevent reasonable use, we will extend validity, provide alternatives, restore lessons or handle undelivered services according to the order and law.
7.6 Freezing
Serious illness, extended travel, major school arrangements or other reasonable objective circumstances may qualify for a freeze under the order. The permitted number, duration and supporting materials must be reasonable. Unrelated sensitive information is not required.
7.7 Transfer
After a lawful transfer of prepaid contractual rights and notice to us, we will reasonably cooperate in changing the learner, verifying identity and guardianship, and updating the account and lesson ownership. We may prevent fraud, multi-user abuse, use of transfers to evade a single-learner unlimited-use restriction and risks to minors. Standard terms must not unreasonably prohibit normal transfers.
8. Prices, payment and receipts
8.1 Order pricing
The actual amount paid, paid and complimentary lessons, lesson duration, teacher pool, service fees, discounts, validity and refund rules shown in the order at purchase apply.
8.2 Seller and payment recipient
The seller, payment recipient and entity responsible for refunds is Institution legal entity (to be confirmed). A third-party payment provider normally processes payments only and does not change our consumer contract or refund responsibility, except for an express lawful arrangement in the order.
8.3 Payment security
Do not pay teachers personally or unverified personal accounts, change payment recipients based on unknown messages, or give payment passwords or verification codes to anyone.
8.4 Invoices and receipts
We provide receipts or invoices under applicable rules.
9. Refunds
Refunds follow the specific order, Refund and Cancellation Policy and mandatory law. Institution legal entity (to be confirmed) handles applications, review, calculation and payment. Teachers, LingoDos Inc., TeachersABC and technology providers may supply course records, lesson calculations and technical assistance, but cannot replace us in deciding or paying consumer refunds.
10. Classroom recording
10.1 Purposes
After lawful separate notice and consent, lessons may be recorded for replay, teaching quality, child safety, complaints and disputes, troubleshooting, teacher training and legal obligations.
10.2 Separate consent
Accepting these Terms does not mean consenting to recording. We will seek consent through a separate checkbox, notice or another prominent method.
10.3 Restrictions
Without additional guardian consent, recordings will not be publicly used in advertising, posted on social media, personally downloaded or distributed by teachers, given to unrelated third parties or used to train public general-purpose AI models.
10.4 User recording and distribution
Without written permission, do not publicly distribute lesson recordings, publish images of teachers or others, sell recordings, use out-of-context extracts to insult or infringe rights, upload course materials to public platforms, or infringe teachers', learners' or others' rights.
11. Conduct and child safety
You and the learner must not insult, harass, discriminate against or threaten teachers or staff; circulate illegal, pornographic, violent, hateful or harmful content; request inappropriate communication; solicit private payments or platform bypass; arrange unauthorised off-platform private chats between teachers and minors; unlawfully record, copy, sell or distribute materials; attack, crack, scan or disrupt systems; access others' accounts or data; scrape teacher or student information in bulk using automation; or engage in other unlawful, infringing or child-endangering conduct.
For child safety risks, we may immediately stop a lesson, suspend relevant accounts, retain necessary records, contact guardians, notify relevant teachers and technology partners, and report to competent authorities as required by law.
12. Intellectual property
Rights in websites, software, course content, presentations, videos, audio, images, trademarks, page designs and teaching materials belong to Institution legal entity (to be confirmed), LingoDos Inc., TeachersABC, teachers or other lawful rights holders.
You receive only a limited, time-bound, non-commercial right to use materials for the registered learner's study, without unauthorised sublicensing. Without written permission, do not copy, publicly distribute, commercially sell, remove rights notices, reverse engineer, build a competing course library or train commercial models.
Original work submitted by you or the learner remains owned by its rights holder. You authorise us and necessary partners to process it only as necessary for courses, feedback, safety, disputes and lawful operations.
13. Personal information
Processing follows the Privacy Policy, guardian confirmation, separate classroom recording consent, overseas provision notice and separate consent, and marketing choices. Accepting these Terms does not give blanket consent to all processing.
14. Professional service partners
We may work with global teachers, LingoDos Inc. / TeachersABC, cloud and video providers, payment providers, and email, SMS, security and AI providers. According to actual roles, we will sign necessary agreements, limit data access, manage quality, handle complaints and remain responsible for our own consumer contract and legal obligations. Partners bear lawful responsibility for their own faults.
15. Changes and suspension
15.1 Reasonable updates
For teaching quality, safety, technology, teacher supply or legal compliance, we may reasonably adjust non-core features, pages, teacher arrangements, technology providers, service processes and material editions.
15.2 Purchased core rights
Without your consent, we will not unilaterally reduce paid lessons, core course level, main services, core validity or lawful refund rights in a purchased order without reasonable grounds.
15.3 Suspension
We may suspend all or part of services for non-payment, account security risks, false information, serious harassment, child safety incidents, fraud or unauthorised payments, unlawful conduct, malicious attacks, authority requirements or significant risks from continuing service. Outside emergencies, we will try to explain and allow a reasonable opportunity to rectify matters.
16. Learning outcomes
Outcomes depend on starting ability, attendance, frequency, practice, cooperation, teacher match, family support and other personal factors. Unless expressly guaranteed in writing in the order, we do not promise specific exam scores, admission, school grades, language levels or attainment within a fixed time. Case studies and typical results do not guarantee the same outcome for every learner.
17. Responsibility
17.1 Our responsibility
We bear lawful responsibility for our course sales, payment collection, customer service, refunds, course organisation, personal information, promised services, staff and entrusted services. Using teachers or technology partners does not by itself exempt us from consumer responsibilities.
17.2 User responsibility
Users bear corresponding responsibility for false information, account sharing, unlawful content, infringement, malicious attacks, harassment, unauthorised distribution of lessons and other faults of their own.
17.3 Limits
Within the law, we do not bear unreasonable liability for matters beyond reasonable control, including user connection/equipment, unauthorised third-party services used by users, force majeure, loss caused by users' own acts, and indirect, opportunity or anticipated-profit losses.
This does not exclude fraud, intent, gross negligence, personal injury, infringement of personal information rights or liability that consumer law prohibits excluding or limiting. Standard terms must not unreasonably exclude or limit consumer rights.
18. Force majeure
For events that cannot reasonably be foreseen, avoided or overcome, including natural disasters, war or terrorism, government action, major public health events, widespread internet, cloud or communications infrastructure faults, power outages and similar events, we will explain promptly, minimise effects, offer reasonable alternatives, reschedule, restore lessons and handle portions that genuinely cannot be performed according to the order and law.
19. Termination and account closure
19.1 Your termination
You may stop purchasing, handle remaining prepaid funds under the Refund and Cancellation Policy and request account closure.
19.2 Our termination
We may terminate for material breach, unlawful conduct, fraud, malicious attacks or child safety risks. Termination does not remove existing responsibilities for refunds, payment, infringement, confidentiality, data or disputes.
19.3 Information after closure
Information is deleted, anonymised or lawfully retained under the Privacy Policy after account closure.
20. Updates to these Terms
Material updates are notified through the website, account, SMS, email or another prominent method. If they affect purchased core rights, we will obtain necessary consent under law or continue under the original order. Continued browsing is not automatic consent to new processing requiring separate consent.
21. Governing law and disputes
These Terms are governed by PRC law. First contact customer service to seek agreement. If unresolved, consumers may lawfully complain to consumer organisations or competent market, education, cyberspace or other authorities, bring proceedings before a competent people's court or use other lawful routes. Dispute clauses must not unreasonably increase consumers' costs of enforcing rights.
